El MASC (medio adecuado de solución de controversias) es, en esencia, un intento serio de negociación previo a la vía judicial: un burofax, un correo, una oferta formal, una mediación... Desde 2025 es requisito de admisibilidad de la demanda en la mayoría de asuntos civiles y mercantiles, incluidos los que más afectan a autónomos y pequeñas empresas: impago de facturas, reclamaciones contractuales, depósitos de alquiler no devueltos, disputas societarias.
MASC (adequate dispute resolution method) is essentially a serious attempt at negotiation before going to court: a formal letter, an email, a formal offer, mediation... Since 2025 it has been an admissibility requirement for claims in most civil and commercial matters, including those that affect freelancers and small businesses the most: unpaid invoices, contractual claims, rental deposits that were never returned, corporate disputes.
Quedan fuera, entre otros, los procedimientos de ejecución, los asuntos laborales, penales y concursales, y aquellos en los que sea parte una entidad del sector público.
Excluded, among others, are enforcement proceedings, labour, criminal and insolvency matters, and cases involving a public-sector entity as a party.

La identidad de objeto también importa: el asunto que negocias debe coincidir con el que después reclamas en la demanda. No hace falta desvelar toda tu estrategia, pero sí identificar claramente el contrato o la deuda.
The matching subject matter also matters: what you negotiate must correspond to what you later claim in the lawsuit. You don’t need to reveal your entire strategy, but you do need to clearly identify the contract or debt.
Los errores que hacen que un juzgado inadmita tu demandaThe mistakes that get your claim rejected
Dirigir la comunicación a un domicilio o correo distinto del pactado con el deudor; enviar un simple requerimiento de pago sin verdadera voluntad negociadora; y no acreditar el envío o la recepción con un medio fiable. Los tres son, según las Audiencias Provinciales, motivos habituales de inadmisión, y en la mayoría de casos el fallo no es subsanable después de presentar la demanda: hay que haberlo hecho bien desde el principio.
Sending the communication to an address or email different from the one agreed with the debtor; sending a bare payment demand with no genuine intention to negotiate; and failing to prove sending or receipt through a reliable channel. All three are, according to Provincial Courts, common grounds for rejection, and in most cases the flaw cannot be fixed after filing the claim: it has to be done right from the start.
La buena noticia es que, cuando el fallo es solo de acreditación —por ejemplo, olvidaste adjuntar el justificante de un intento que sí hiciste bien— el juzgado suele conceder un plazo para subsanarlo. El problema real es no haber negociado antes de demandar.
The good news is that when the flaw is only about evidence —for example, you forgot to attach proof of an attempt you actually made correctly— the court usually grants a deadline to fix it. The real problem is not having negotiated before suing.

Para reclamaciones de deuda entre empresas o con clientes, la oferta vinculante confidencial (OVC) es, en la práctica, la herramienta más útil: te permite acreditar el intento de negociación sin revelar tu margen de maniobra a la otra parte, y si el deudor la rechaza sin motivo razonable, eso puede jugar a tu favor después en el reparto de las costas del juicio.
For debt claims between businesses or with clients, the confidential binding offer (OVC) is, in practice, the most useful tool: it lets you prove your negotiation attempt without revealing your room for manoeuvre to the other party, and if the debtor rejects it without reasonable grounds, that can later work in your favour when costs are allocated at trial.
